1. Use of Services

Axion Labs Solutions / AI LLC

These Terms and Conditions (“Terms”) govern your access to and use of the website, platform, and AI-powered voice agent services provided by Axion Labs Solutions / AI LLC (“Axion,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, discontinue use of our Services immediately.

1. Acceptance of Terms
   By creating an account, subscribing to a plan, initiating a free trial, or otherwise accessing our Services, you represent that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations.

2. Description of Services
   Axion AI provides AI-powered voice receptionist services through its platform, including but not limited to inbound call handling, lead capture and logging, appointment booking, SMS follow-up, spam call filtering, and real-time dashboard reporting. Services are delivered via third-party infrastructure including Vapi, Twilio, Stripe, Google, and n8n. Features and availability may vary by plan.

3. Account Registration
   To access paid Services, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Axion AI is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing
   4.1 Plans — Axion AI offers multiple subscription tiers as described on our pricing page. Features, included minutes, and overage rates vary by plan. Axion reserves the right to modify plan offerings and pricing with reasonable notice.
   4.2 Billing — All plans are billed on a monthly recurring basis through Stripe. By subscribing, you authorize Axion AI to charge your payment method on file at the beginning of each billing cycle.
   4.3 Overage Charges — If your usage exceeds the included minutes for your plan in a given billing period, overage charges will be applied at the per-minute rate specified for your plan tier. Overage charges are billed at the end of the billing cycle.
   4.4 Free Trial — The Try Riley Free plan provides one complimentary 2-minute call with no credit card required. Free trial usage is limited to one per business. Abuse or misuse of the free trial may result in termination of access.
   4.5 Upgrades and Downgrades — You may upgrade or downgrade your plan at any time. Changes take effect on your next billing cycle. No prorated refunds are issued for downgrades made mid-cycle.
   4.6 Cancellation — You may cancel your subscription at any time through your account dashboard. Upon cancellation, you retain access to the Services through the end of your current billing period. No partial refunds are issued for unused time.
   4.7 Failed Payments — If a payment fails, Axion AI reserves the right to suspend or terminate your account until payment is resolved. You are responsible for keeping your payment information current and accurate.

5. Acceptable Use
   You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
   Use the Services to engage in any fraudulent, deceptive, or illegal activity. Violate any applicable federal, state, or local laws or regulations. Harass, abuse, or harm any individual through use of the Services. Attempt to gain unauthorized access to any part of our platform or infrastructure. Reverse engineer, decompile, or attempt to extract the source code of our platform. Use the Services to transmit spam, unsolicited messages, or malicious content. Misrepresent your identity or business when using the Services. Interfere with or disrupt the integrity or performance of the Services.
   Axion AI reserves the right to suspend or terminate any account found to be in violation of this section without notice or refund.

6. Call Recording and Telecommunications Compliance
   By using Axion AI’s voice agent services, you acknowledge and agree that calls handled through our platform may be recorded or transcribed. You are solely responsible for compliance with all applicable federal and state call recording, wiretapping, and telecommunications laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the Electronic Communications Privacy Act (ECPA), and any applicable one-party or two-party consent laws in your jurisdiction. You agree to obtain all necessary consents from callers prior to recording and to include any legally required disclosures. Axion AI is not liable for your failure to comply with applicable telecommunications laws.

7. SMS Messaging Compliance
   If you use Axion AI’s SMS follow-up features, you agree to comply with all applicable laws governing commercial text messaging, including the TCPA and carrier regulations. You are responsible for ensuring that all recipients have provided proper consent to receive SMS communications. You agree not to use SMS features to send spam, unsolicited messages, or content that violates carrier guidelines or applicable law. Axion AI reserves the right to suspend SMS features for any account found to be in violation of messaging compliance requirements.

8. Intellectual Property
   All content, software, technology, branding, and materials associated with the Axion AI platform — including but not limited to the Riley voice agent, dashboard, website, and documentation — are the exclusive property of Axion Labs Solutions / AI LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only. You may not reproduce, distribute, modify, or create derivative works from any part of our platform without prior written consent.

9. Third-Party Services and Integrations
   Axion AI’s platform integrates with third-party services including Vapi, Twilio, Stripe, Google, and others. Your use of those services is subject to their respective terms and privacy policies. Axion AI is not responsible for the performance, availability, or conduct of any third-party service. We are not liable for any loss or damage arising from your use of or reliance on third-party integrations.

10. Disclaimer of Warranties
    THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AXION AI EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

11. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXION LABS SOLUTIONS / AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST PROFITS, MISSED CALLS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AXION AI’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO AXION AI IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification
    You agree to indemnify, defend, and hold harmless Axion Labs Solutions / AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights.

13. Termination
    Axion AI reserves the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including for violations of these Terms, non-payment, or conduct that Axion AI determines to be harmful to the platform or other users. Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimer of warranties, limitation of liability, and indemnification.

14. Governing Law and Dispute Resolution
    These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Services shall be resolved through binding arbitration in Dallas, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration against Axion AI.

15. Modifications to Terms
    Axion AI reserves the right to update or modify these Terms at any time. When material changes are made, we will update the Effective Date at the top of this document and notify you via email or prominent notice on our website. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms.

16. Severability
    If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement
    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Axion Labs Solutions / AI LLC regarding your use of the Services and supersede all prior agreements, understandings, and representations.
